Terms of Service

1. Acceptance of Terms

By creating an account or using Ridefy ("the Service"), operated by Procode Oy ("we", "us", "the Company"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Platform Role — Not a Transport Provider

Ridefy is solely a technology platform that enables private individuals to connect and coordinate shared rides within trusted communities. Ridefy:

• Does not provide, operate, or offer transportation services of any kind
• Is not a transportation carrier, taxi service, or ride-hailing company
• Does not employ, contract, or supervise any drivers
• Does not own, lease, or control any vehicles used for rides
• Does not set, negotiate, or process any fares or payments between users
• Does not determine routes, schedules, or pickup/dropoff locations

All ride arrangements are made directly between independent users. Ridefy merely provides the digital tools that facilitate such connections. The relationship between a driver and a passenger is solely between those individuals, and Ridefy is not a party to any such arrangement.

3. Cost Sharing — Not Commercial Transport

Ridefy is designed exclusively for non-commercial cost sharing between private individuals, as permitted under EU and Finnish law. This means:

• Drivers may only share actual trip costs (fuel, tolls, parking, and reasonable vehicle wear) with passengers
• Drivers must not profit from rides — the total contribution from all passengers must not exceed the actual cost of the trip
• The driver must be making the journey regardless of whether passengers join — the ride must not be made solely for the purpose of transporting others for payment
• Cost sharing is arranged directly between users — Ridefy does not handle, process, or intermediate any payments

Users who use the platform for commercial transport activities (e.g., operating as an unlicensed taxi or for-hire vehicle) are in violation of these Terms and may have their accounts terminated immediately. Ridefy bears no responsibility for users who violate this provision or any applicable transport regulations.

4. User Accounts

• You must be at least 18 years old to use Ridefy.
• You are responsible for maintaining the security of your account credentials.
• Account information must be accurate and up to date.
• One person may maintain only one account.

5. User Responsibilities and Compliance

Drivers must:

• Hold a valid driver's license appropriate for the vehicle being driven
• Maintain adequate motor vehicle insurance as required by applicable law
• Ensure their vehicle is roadworthy, properly registered, and meets all legal requirements
• Comply with all applicable traffic laws, road safety regulations, and transport legislation
• Only share costs — not operate as a commercial transport service
• Not drive under the influence of alcohol, drugs, or any substance impairing their ability to drive safely

Passengers must:

• Behave respectfully and follow reasonable instructions from the driver
• Wear seatbelts at all times during the ride
• Not distract the driver or engage in behavior that compromises road safety
• Honor cost-sharing agreements made with drivers

All users must:

• Provide honest and accurate information
• Comply with all applicable local, national, and EU laws and regulations
• Not use the platform for any illegal, unauthorized, or commercial transport purpose
• Not harass, threaten, or discriminate against other users
• Report any safety concerns or incidents to both relevant authorities and Ridefy

6. Assumption of Risk

You acknowledge and agree that the use of shared rides arranged through the platform involves inherent risks, including but not limited to the risk of traffic accidents, personal injury, property damage, and interactions with other individuals. By using Ridefy, you voluntarily assume all such risks and agree that Ridefy shall not be held liable for any harm arising from ride arrangements made through the platform.

You are solely responsible for evaluating the suitability, safety, and legality of any ride you offer or accept. Ridefy does not verify the driving ability, vehicle condition, insurance status, criminal history, or identity of users beyond what is provided through social login authentication.

7. Communities

Community admins are responsible for managing their communities. Ridefy provides tools for community management but does not verify the identity of individual community members beyond social login. Community admins may set their own community rules in addition to these Terms. Ridefy is not responsible for the actions, policies, or decisions of community administrators.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ridefy and its officers, directors, employees, and agents shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Personal injury, death, or property damage arising from rides arranged through the platform
• The conduct, actions, or omissions of any user, whether online or offline
• Accidents, injuries, or incidents occurring during, before, or after rides
• Disputes between users regarding payments, cost sharing, or ride arrangements
• The accuracy, reliability, or completeness of user-provided information
• The legality of cost-sharing arrangements in any particular jurisdiction
• Any violation of transport regulations by users of the platform
• Service interruptions, errors, or data loss

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by Finnish law, our total aggregate liability is limited to the amount you have paid to Ridefy for use of the Service (which is €0 for the free service).

9. Indemnification

You agree to indemnify, defend, and hold harmless Procode Oy and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service or participation in any ride
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of any third party
• Any claim that your use of the platform constitutes commercial transport activity
• Any accident, injury, or damage arising from a ride you offered or participated in

10. Insurance Disclaimer

Ridefy does not provide any insurance coverage for rides. Users are responsible for ensuring they have adequate personal insurance, motor vehicle insurance, and any other coverage required by law. Drivers should verify with their insurance provider that their policy covers ride-sharing or carpooling arrangements. Ridefy shall not be held responsible for any gaps in users' insurance coverage.

11. Account Termination

We may suspend or terminate your account if you violate these Terms, engage in harmful behavior, use the platform for commercial transport, or misuse the platform in any way. You may delete your account at any time through the app settings or by contacting support@ridefy.fi.

12. Intellectual Property

The Ridefy name, logo, and all related designs, software, and content are the property of Procode Oy. You may not use our branding without written permission.

13. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via the app or email. Continued use of Ridefy after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Finland. Any disputes shall first be attempted to be resolved amicably. If no resolution is reached, disputes shall be resolved in the courts of Helsinki, Finland. Nothing in these Terms affects your statutory consumer rights under applicable EU or Finnish consumer protection laws.
